Commercial law in Barcelona

In short

A commercial lawyer in Barcelona, also called a corporate or company lawyer, advises you on companies and on the obligations of businesses, such as the limited liability company, the public limited company and the partnership limited by shares, which are capital companies. This page is general information and is not legal advice. What follows are the points the rules set, so that you arrive at the consultation with clear questions.12345678910111213

Centres that publish commercial law in Barcelona

Each entry shows the centre's address, the specialities it publishes and the link to its website.

Informational list of centres entered in the public register, without recommendation or assessment. If you are a professional and want to correct or remove your entry, see the methodology.

Do you want to know how we choose and order the centres? This is how we do it.

Setting up a company: deed, registry and capital

Setting up a capital company requires a public deed, which must be registered in the Commercial Registry.1 With registration the company acquires the legal personality that corresponds to the chosen company type.1

On capital: that of a limited liability company cannot be less than one euro,1 and the share capital of a public limited company cannot be less than sixty thousand euros.1 The legal minimum does not say how much capital suits your business; ask your adviser, because this page has no data to assess it.

The Central Commercial Registry states that the company name certificate is valid for three months for the purpose of executing the deed.2 It is worth asking the lawyer how to organise the calendar so that the certificate is still valid on the day of signing.

What this page does not cover: the type of company that suits you, the costs of setting it up and the Registry's timescales, because we do not have that data in the reviewed sources.

Annual obligations: meeting, accounts and filing

The ordinary general meeting must be held within the first six months of each financial year.1 The directors draw up the annual accounts within a maximum of three months of the close of the financial year.1

Within the month following approval of the annual accounts, the directors submit the certificate of the approval resolutions for filing in the Commercial Registry.1

This page does not detail the consequences of missing these deadlines, because the reviewed sources do not cover them. If you doubt whether your company is up to date, that is a good reason to consult a professional.

Accounting and keeping documents

Every businessperson must keep orderly accounts suited to the activity of their business.3 Businesspeople keep the books, correspondence and supporting documents of their business duly ordered for six years from the last entry, unless a special provision applies.3

It is worth asking the adviser whether in your case there is a special provision that changes that period, because the source leaves it open.

When to consult a lawyer

  1. A legal deadline is running: the company's annual obligations have deadlines set by the rules.1 If you doubt whether your company is up to date, consult soon rather than wait.
  2. There is a risk to your safety or your family's: go to the emergency services first. Legal help comes afterwards.

Outside those cases, consulting is your choice and not an obligation.

What to bring to the first consultation

It helps to bring:

  • If the company exists: the deed of incorporation, the articles of association and the latest annual accounts.
  • If you are going to set it up: who will be the partners and directors, and what it will do.
  • The DNI or NIE of the partners and directors.
  • Any company document you have doubts about.

And questions worth asking before hiring:

  • Which type of company suits what you want to do and what risks it carries.
  • Which procedures the lawyer would carry out and which the notary, the registry or your gestoría would.
  • How the service is charged, what it includes and what it does not, in writing.

How to check a lawyer with the ICAB

Before hiring, check that the person is registered in the professionals search of the Il·lustre Col·legi de l'Advocacia de Barcelona (ICAB). Search for their name and verify that they appear as a practising member. This page does not certify any lawyer or recommend anyone in particular.
